1. Definitions

1.1 “Company” means Lymm Engine Components Ltd.

1.2 “Customer” means the purchaser of Goods.

1.3 “Goods” means all products supplied.

1.4 “Contract” means any agreement for sale.

1.5 “Credit Account” means an approved trading account.

2. Application

2.1 These Terms apply to all sales and override any Customer terms unless agreed in writing by a Director.

2.2 Placement of an order constitutes acceptance of these Terms.

2.3 The Company may amend these Terms at any time.

3. Orders

3.1 All orders are subject to acceptance.

3.2 The Company may refuse, suspend or cancel orders at its discretion.

3.3 Cancellation may incur supplier or carriage charges.

4. Prices

4.1 Prices exclude VAT.

4.2 Prices may change prior to dispatch due to supplier or freight adjustments.

4.3 Minimum order values may apply.

5. Payment Terms

5.1 Non-Account Customers

Payment in full prior to dispatch.

5.2 Credit Account Customers

• Credit granted at Company discretion.
• Payment strictly within agreed terms. Time is of the essence.
• Late Payment Fee: A 2.5% late payment fee may be applied where an invoice becomes more than 15 days overdue outside agreed credit terms.
• Statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998 may also apply.
• The Company may suspend supply, cancel orders or withdraw credit where sums are overdue.
• The Customer shall indemnify the Company for all recovery costs.
• Payments may be allocated at the Company’s discretion.

6. Personal Guarantee

6.1 The Company may require a Director/Principal to provide a Personal Guarantee.

6.2 The Guarantor is jointly and severally liable for all sums due including interest and recovery costs.

7. Delivery & Risk

7.1 Delivery dates are estimates only.

7.2 Risk passes upon delivery.

7.3 Failure to accept delivery may incur charges.

8. Retention of Title

8.1 Title remains with the Company until all monies due are paid in full.

8.2 Goods must be stored separately and insured.

8.3 The Company may enter premises to recover unpaid Goods.

9. Returns & Handling Charges

9.1 Returns accepted within 30 days of invoice date.

9.2 Must be authorised, unused and in original packaging.

9.3 Special order/non-stock items non-returnable unless agreed in writing.

9.4 Handling charge up to 20% may apply at Company discretion.

9.5 Carriage non-refundable unless Company error.

10. Warranty

10.1 Goods supplied subject solely to manufacturer warranty.

10.2 Labour Claims

• Processed on behalf of Customer
• Subject to manufacturer approval
• Limited to manufacturer claim caps
• No liability until manufacturer approves
• No hire vehicle, courtesy car or alternative transport costs claimable
• No downtime, loss of profit or consequential losses

10.3 ECU Modification

Where reasonable suspicion exists that a vehicle has been remapped, tuned or modified from OEM specification, the Company may require written proof confirming no modification has occurred.

Failure to provide satisfactory evidence may result in suspension or rejection of the claim.

10.4 Competition & Extreme Use

Warranty does not apply where Goods have been used in:

• Motorsport
• Racing
• Track days
• Competition
• Extreme performance use

10.5 Installation Compliance

Warranty conditional upon correct installation in accordance with manufacturer instructions.

Claims may be rejected where failure arises from:

• Incorrect torque
• Incorrect assembly
• Failure to replace associated components
• Contamination
• Installer negligence

Burden of proof rests with the Customer.

11. Warranty Procedure

• Immediate notification required
• Continued use invalidates claim
• Documentation required (invoice, mileage, diagnostics, photos etc.)
• Manufacturer decision final

12. Limitation of Liability

Liability limited to invoice value of Goods supplied.

No liability for indirect, consequential or loss of profit claims.

13. Trade Supply

Goods supplied for professional automotive trade use only.

14. Copyright & Intellectual Property

All product descriptions, images, technical data, branding (including Gemini Components) and marketing materials remain property of Lymm Engine Components Ltd.

Unauthorised use prohibited.

15. Force Majeure

No liability for events beyond reasonable control.

16. Governing Law

England & Wales jurisdiction.
